Section 5 - Corporate Governance and Management

Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On August 21, 2019, the Board of Directors of Deluxe Corporation (“Deluxe”) approved an amendment to the Bylaws of Deluxe for the sole purpose of replacing the word “Chairman” everywhere it appears therein with the word “Chair.” The amendment became effective as of that date.

The foregoing summary is qualified in its entirety by reference to the complete text of the Bylaws, which is filed as an exhibit hereto.
