Deluxe Announces Senior Notes Offering
ST. PAUL, Minn., April 30 /PRNewswire-FirstCall/ -- Deluxe Corporation (NYSE: DLX) today announced that it plans to offer $200 million principal amount of Senior Notes due 2015 in an unregistered offering, subject to market conditions. The notes will be unsecured obligations of the Company. They will be offered within the United States only to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933 and to persons in offshore transactions in reliance on Regulation S under the Securities Act. The Company intends to use the net proceeds from the offering, plus cash on hand, to repay the outstanding balance under the company's credit facility, for general corporate purposes and to repay the aggregate principal amount of the company's 3.5% notes outstanding upon their maturity on October 1, 2007.
The notes have not been registered under the Securities Act and therefore may only be offered or sold in the United States pursuant to an exemption from, or in a transaction not subject to, the registration requirements of the Securities Act and applicable state securities laws.
